Terms of service

A draft document structure. Legal wording, company details and jurisdiction are marked [LAWYER: review] and must be approved by a lawyer before sign-up opens.

Draft version dated 2026-10-17

These terms govern the use of the ImportOS service (Desk, Margin, Track, Data API and related features). Service operator: [LAWYER: state the legal entity, registration details, address and jurisdiction].

1. Parties and subject matter

ImportOS gives the customer company access to a software service for managing leads and deals, calculating landed cost and showing deal status to end clients.

[LAWYER: review the definitions of the parties, the subject matter and acceptance of the terms.]

2. Account and access

The customer is responsible for safeguarding credentials, for the actions of its staff and for correctly configured roles.

  • One account corresponds to one company (tenant).
  • [LAWYER: terms for giving access to third parties.]

3. Trial, payment and limits

New customers receive a free 14-day trial. After it the customer chooses a plan and subscribes through the payment provider Stripe; the plan or card can be changed in the Customer Portal.

Prices are shown on the pricing page. For every car above the monthly limit on the Starter and Pro plans a charge of $5 applies. Limits are soft: the system warns when a limit is approached or exceeded, and customer data is not locked.

[LAWYER: refund terms, taxes (VAT), payment deadlines, consequences of non-payment, data retention after the trial ends.]

4. Acceptable use

  • The service must not be used to bypass the protections, CAPTCHAs or access restrictions of third-party sites.
  • Data the customer has no right to process must not be uploaded.
  • The customer is responsible for complying with the terms of the auctions and platforms on whose pages the extension runs.

5. Calculations are informational

Calculations of customs charges, auction fees and margin are indicative and are based on the rules in force on the stated date and on tariffs entered by the customer. Rates not confirmed by an official source are flagged in the calculation.

A calculation is not customs, tax or legal advice. The customer verifies amounts independently before making payments or filing declarations.

[LAWYER: review the wording of the disclaimer and the limits of liability.]

6. Customer data

Data the customer enters into the service remains the customer's property. The terms for processing personal data of the customer's clients are set out in the data processing agreement (DPA) and the privacy policy.

7. Availability and changes to the service

We aim for stable operation but do not guarantee continuity until separate service-level commitments are published. Features may change. [LAWYER: SLA, notice of material changes.]

8. Liability

[LAWYER: limitation of liability, force majeure, indemnification.]

9. Termination

The customer may cancel the subscription at any time through the Customer Portal. [LAWYER: export and deletion of data after termination, time limits.]

10. Governing law and disputes

[LAWYER: governing law, jurisdiction, language of the agreement.]
